Btopia Prep Terms and Conditions
If you are registered with our business and/or have shipped to our location, you are agreeing to our terms of service and use.
1. Acceptance of terms
1.1 Btopia Enterprises Ltd., a Canadian Corporation operating as “Btopia Prep” and “Btopia,” provides its Services to you under these Terms & Conditions (“Agreement”). By accepting this Agreement, accessing or using the Services, or clicking through on our website, you acknowledge that you have read, understood, have the authority to, and agree to be bound by this Agreement.
1.2 By accepting these terms, you certify that you are 18 years of age or older. If you are entering into this Agreement on behalf of a customer, “you” or “your” shall also refer to such entity and its affiliates. Btopia reserves the right to terminate a client relationship at its discretion without notice.
1.3 By engaging in Btopia’s services, the client agrees to these terms and conditions in full. Btopia may change this Agreement from time to time without notice. If you do not agree to these terms and conditions, please terminate any business with us immediately and contact us at [email protected].
2. Services Offered
Btopia provides prep services for products, including but not limited to receiving, inspecting, labeling, packaging, handling, and shipping. We also offer storage services for a specified period.
3. Client Responsibilities
Clients are responsible for ensuring that all products sent to Btopia comply with legal requirements, including but not limited to safety standards and import/export regulations.
4. Fees and Payment
4.1 Fees for Btopia’s services are outlined in the pricing schedule provided to the client. Payment is due upon receipt of the invoice, and services will not be rendered for unpaid invoices. You may receive a bill in advance with a due date within a few days at the beginning of your monthly period. If payment is late or overdue, an automatic charge may be applied for the overdue amount to your card. Any discounts or external referrals are subject to minimum monthly requirements unless otherwise agreed upon.
4.2 Payment methods are: Bank Transfer/e-transfer, Paypal (4% fee), WeChat/Alipay (2% fee)
4.3 Late Payment Fee: If Btopia fails to receive payment from the Company within the due period, a late payment fee of 5% (minimum of $30) will be applied to the invoice, unless the invoice is currently being disputed.
4.4 Freight Charges: All freight appointment quotes provided through our service are estimates and subject to change. Final charges may vary due to factors such as late fees, storage, waiting time, or changes in carrier or broker fees. By booking with us, you acknowledge and accept that the initially quoted amount may be adjusted to reflect any additional charges incurred. We will inform you of any changes to your quote as soon as possible and provide detailed reasons for any adjustments.
5. Shipping and Delivery
Btopia will ship products as per the client’s instructions. Shipping costs will be borne by the client unless otherwise specified.
6. Liability
Limitation of Liability: While Btopia takes every precaution to ensure the safety and security of products in our care, the customer is aware of and agrees that Btopia is not liable for any loss, damage, or theft of products. This limitation of liability applies to all damages of any kind, including (but not limited to) direct, indirect, special, incidental, or consequential damages.
7. Ownership and Risk-of-Loss
7.1 Ownership: Btopia will not hold any ownership of the inventory that is held by Btopia as Inventory in our facilities.
7.2 Btopia is responsible for the products from the time of inbound processing until proof of forwarding. After proof of forwarding, responsibility transfers to the customer.
7.3 In the event of loss between inbound processing and proof of forwarding, Btopia will compensate the customer at the purchase price, provided that proof of purchase or manufacture cost is presented.
8. Abandoned and Liquidation
8.1 Btopia reserves the right to refuse service to the Company at any point in time, for any reason. In the event that Btopia exercises this right, the Company will be notified and given a reasonable timeframe of 3 business days to arrange for the removal of its inventory. Failure to comply within this timeframe may lead to the imposition of additional fees or necessitate the liquidation of the inventory.
8.2 If any account remains unpaid for 30 days, Btopia has the right to classify the Company’s account as an Abandoned Account. From the moment an account is deemed abandoned, the Company immediately forfeits its rights of ownership over the Company’s Inventory up to the cumulative amount required to settle all fees, in addition to any reasonable expenses incurred by Btopia for the preservation, storage, or sale of the Inventory.
9. Termination
Either party may terminate the agreement with written notice. Btopia reserves the right to terminate services immediately if the client breaches the terms and conditions.
10. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of British Columbia, Canada.
11. Modifications
Btopia reserves the right to modify these terms and conditions at any time. Clients will be notified of any changes.
12. Entire Agreement
12.1 These terms and conditions constitute the entire agreement between Btopia and the client and supersede all prior agreements and understandings.
12.2 Btopia reserves the right of final interpretation.
